These Terms of Service ("Terms") govern your access to and use of the ErpFlow platform ("Service") operated by Onpolar OÜ (registry code: 14384702) ("Company", "we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
ErpFlow is an AI-native, all-in-one business management platform providing enterprise resource planning (ERP), customer relationship management (CRM), invoicing, inventory management, and related services. The Service is provided as a cloud-based software-as-a-service (SaaS) solution.
To use the Service, you must create an account by providing accurate and complete information. You must be at least 16 years of age. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
The Service is offered on a subscription basis. Payment is processed through Stripe, our third-party payment processor. Subscription fees are billed in advance on a monthly or annual basis. We reserve the right to change our pricing with at least 30 days' prior notice. If you do not agree with a price change, you may cancel your subscription before the new price takes effect. Refunds are not provided for partial billing periods.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not: (a) use the Service to store or transmit malicious code; (b) interfere with or disrupt the integrity or performance of the Service; (c) attempt to gain unauthorized access to the Service or its related systems; (d) use the Service to violate any applicable law or regulation; (e) sublicense, resell, or redistribute the Service without our prior written consent.
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data. By using the Service, you acknowledge that you have read and understood our Privacy Policy.
The Service, including all software, design, text, graphics, and other content, is owned by the Company and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during the subscription term.
You retain all rights to the data you upload to the Service ("Your Data"). We do not claim ownership of Your Data. You grant us a limited license to process Your Data solely for the purpose of providing the Service. You may export Your Data at any time during your subscription using the export features available in the Service. Upon termination of your subscription, we will retain Your Data for 30 days, after which it will be permanently deleted.
To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities. Our total liability for any claim arising out of or related to the Service shall not exceed the total fees paid by you in the 12 months preceding the claim.
You agree to indemnify and hold harmless the Company, its officers, directors, and employees from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service or violation of these Terms.
Either party may terminate the subscription at any time. You may cancel your subscription through the account settings. We may suspend or terminate your access if you breach these Terms. Upon termination, your right to use the Service ceases immediately. We will retain Your Data for 30 days following termination, during which you may request an export.
These Terms are governed by and construed in accordance with the laws of the Republic of Estonia, without regard to its conflict-of-law provisions. Any disputes arising out of or in connection with these Terms shall be resolved exclusively by the courts of Harju County, Estonia.
We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect by email or through the Service. Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms.
